What types of decisions are taken at the Board of Directors level within a Ltd Company

Are there certain types of decisions that are voted upon by Directors at the Board of Directors meetings? Is it common for these to be changed via the articles?
Answer1:Directors are agents of the shareholders and their primary duty is to safeguard the interests of the shareholders. Their duties and responsibilities are fixed by the Companies Act as well as the articles. If the articles do not contain a specific power to use for a decision then the articles may be amended provided there is no conflict with the Companies Act.To amend the articles a special resolution has to be adopted by 75% of the members who must know why the amendment is necessary, and becomes effective after its adoption and information to authorities under the law.
